By creating an account or using any Kedy service, you agree to these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Kedy Technologies provides AI model inference, fine-tuning, deployment infrastructure, and related developer tools (collectively, "Services"). We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.
3. Accounts
You must create an account to access most of our Services. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access at [email protected]
You may not share API keys or account credentials with third parties.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law or regulation
- Generate content that is illegal, harmful, or deceptive
- Attempt to reverse-engineer or extract model weights without authorization
- Conduct denial-of-service attacks or attempt to circumvent rate limits
- Infringe intellectual property rights of any third party
- Build competing foundation model products using our proprietary infrastructure
We may suspend accounts that violate these terms without prior notice.
5. Intellectual Property
Your content
You retain ownership of all content you submit to our Services ("Input"). You grant Kedy a limited license to process your Input solely to provide the Services. We do not use your Input to train our models without explicit written consent.
Our content
Subject to your compliance with these Terms, outputs generated by our models ("Output") are yours to use for any lawful purpose. Kedy retains all rights to its models, infrastructure, and proprietary technology.
Open-source models
Our open-source models are released under their respective licenses (typically Apache 2.0 or MIT). Please review each model's license before commercial use.
6. Payment Terms
Paid services are billed monthly in advance. Usage-based charges (API calls, compute) are billed in arrears at the end of each billing period. All fees are non-refundable except as required by law or as described in our refund policy. We may update pricing with 30 days' notice.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that should reasonably be understood to be confidential. This obligation does not apply to information that is publicly available or independently developed.
8. Disclaimers
Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or reliable. AI-generated content may contain errors and should be reviewed before use in critical applications.
9. Limitation of Liability
To the maximum extent permitted by law, Kedy Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising out of or related to these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim.
10. Termination
Either party may terminate these Terms at any time. You may delete your account through account settings. We may terminate or suspend your access for violation of these Terms. Upon termination, your right to use the Services ceases immediately. Sections 5, 7, 8, 9, and 11 survive termination.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules, except either party may seek injunctive relief in any court of competent jurisdiction.
